What follows governs the purchase and operation of everything sold from this catalog. Plain wording is a deliberate choice. Anywhere a genuine boundary exists on what your money buys, the boundary appears in the open instead of inside a clause engineered to survive being skipped.

One catalog entry equals one managed capability, delivered on whichever vendor platform its register identifies and operated by our engineering staff. Purchasing it confers that capability at the quantity bought, throughout the period the subscription remains paid and active.
The registers are incorporated into this contract. Every register ends in a two column scope block, and the column headed what is not included has been drafted to be relied upon in a dispute. Consult it beforehand.

Nothing sold from this catalog renders a firm compliant with the FTC Safeguards Rule or with any other obligation. What these entries do is support technical safeguards that a written information security program frequently requires. Whether your program satisfies a regulator is a determination that regulator makes, resting on facts well outside anything a subscription can reach. Paragraph references to 16 CFR 314.4 appear so that you can locate the wording, never as an assertion that holding an entry discharges a paragraph.
Four obligations remain yours in every circumstance: naming a qualified individual, producing a written risk assessment, maintaining an incident response plan, and reporting to whoever governs your firm. Evidence for all four is something we supply. A signature on any of them is not.
Declines are retried and reported to you. An unresolved failure can lead to suspension. Considerable effort goes into reaching a person beforehand, because disabling protection at a firm holding client records over a lapsed expiry date helps nobody. Restoring a suspended service can require redeployment effort.
No safeguard blocks every intrusion, no copy restores every byte, and no scanner recognises every record. A subscription buys a considerably harder target, a far shorter interval between an event beginning and a human noticing, and a written trail of what was done about it.
Uninterrupted availability is not warranted, nor is the behaviour of a vendor platform beneath us. Where a platform misbehaves, you will be told what actually happened rather than hearing it recast as planned maintenance.
Indirect loss, consequential loss, lost profit, and lost opportunity fall outside what either party owes the other. Across any rolling window of twelve months, total liability is capped at whatever your practice paid across that same window.
No provision here restricts liability that law forbids restricting, fraud included.
Your data belongs to you. We hold it in order to run the services, assert no rights over it, and will return or destroy it when asked, within the bounds each platform permits. Aggregate operational figures identifying nobody may inform how we run the service.
Terminate through the portal, or in writing using whichever address is attached to the account. It takes effect once the period already collected for has expired. A handover gets agreed, and your data is retrieved from every platform that makes retrieval possible.
Substantive amendments reach account holders directly and advance the revision date shown above. Continued use beyond that date amounts to acceptance of the amended wording.
